1. Acceptance of Terms

By accessing or using Backlinks Monitor (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and WEB MEDIA SOLUTIONS LLC (“Company,” “we,” “us,” or “our”).

We reserve the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms. You are responsible for reviewing these Terms periodically.

2. Service Description

Backlinks Monitor is a professional backlink monitoring and analysis platform designed to help website owners, SEO professionals, and digital marketers track, analyze, and manage their backlink profiles. Our Service includes the following core features:

2.1 Backlink Discovery

Our Discovery feature automatically identifies and catalogs new backlinks pointing to your website. Using advanced crawling technology and multiple data sources, we scan the web continuously to detect when new websites link to your domain. Discovery runs on a scheduled basis according to your subscription plan, with new backlinks typically appearing in your dashboard within 24-72 hours of being indexed by search engines.

2.2 Automated 24/7 Monitoring

All backlinks added to your account are automatically monitored around the clock without manual intervention. Our monitoring system:

• Checks backlink status at regular intervals based on your subscription tier
• Verifies that links remain active and accessible (HTTP status code 200)
• Confirms that your target URL is still present on the linking page
• Detects changes to link attributes (nofollow/dofollow status)
• Tracks redirect chains and canonical URL changes
• Monitors anchor text modifications

Monitoring Calculation: Each backlink check counts as one monitoring credit. The frequency of automatic checks depends on your subscription plan (e.g., daily, every 3 days, weekly). If a backlink is found to be inactive or missing, our system performs two additional verification checks within 24 hours before marking it as “lost” to avoid false positives caused by temporary server issues.

2.3 Manual Check

The Manual Check feature allows you to instantly verify the status of any backlink in your account on-demand, outside of the automated monitoring schedule. This is useful when you need immediate confirmation after requesting link placements or when investigating suspicious activity. Each manual check consumes one monitoring credit from your monthly allocation.

2.4 Force Indexing

Force Indexing is an advanced feature that submits your backlink URLs to search engines for faster indexing. When you activate Force Indexing for a backlink:

• We submit the linking page URL to major search engine indexing APIs
• The page is queued for priority crawling by search engine bots
• You receive indexing status updates in your dashboard
• The process typically accelerates indexing from weeks to days

Force Indexing does not guarantee immediate indexing, as final indexing decisions are made by search engines based on their own algorithms and quality guidelines. This feature is subject to availability limits per subscription plan.

2.5 Monitoring Credits System

Your subscription includes a monthly allocation of monitoring credits. Credits are consumed as follows:

• Automatic Monitoring: 1 credit per scheduled check per backlink
• Manual Check: 1 credit per on-demand verification
• Force Indexing: 5 credits per indexing request (subject to plan availability)

Unused credits do not roll over to the next billing cycle. If you exceed your monthly credit allocation, additional credits can be purchased through your account dashboard or you may upgrade to a higher-tier plan.

3. Subscription Plans and Billing

3.1 Subscription Tiers

We offer multiple subscription plans with varying features, backlink limits, and monitoring credit allocations. All plan details, including pricing and features, are displayed on our pricing page at the time of purchase. By subscribing, you agree to the specific terms of your selected plan.

3.2 Billing Cycles

Subscriptions are available on monthly or annual billing cycles. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. Annual subscriptions are billed in one payment at the beginning of the annual period.

3.3 Automatic Renewal

All subscriptions automatically renew at the end of the current billing period. You will be charged using your selected payment method on file. We will send you a reminder email at least 7 days before each renewal date. You may disable auto-renewal or cancel your subscription at any time through your account settings.

3.4 Free Trials

If you register for a free trial, you will have access to limited features for the trial period specified at registration. No payment method is required during the trial unless stated otherwise. When the trial period ends, you must subscribe to a paid plan to continue using the Service. We reserve the right to limit free trial availability and to refuse free trial access to users who have previously used free trials or who we suspect are abusing the trial system.

3.5 Plan Changes

You may upgrade or downgrade your subscription plan at any time through your account dashboard. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your current billing cycle. Downgrades take effect at the start of your next billing cycle. If you downgrade to a plan with fewer backlink slots or credits than you are currently using, you may need to remove excess backlinks or your account may operate in a limited capacity until the next billing cycle.

4. Payment Terms

4.1 Accepted Payment Methods

We accept the following payment methods through our secure payment processors:

• PayPal: All major credit and debit cards through PayPal checkout, or direct PayPal balance payments
• Stripe: Visa, Mastercard, American Express, Discover, and other major credit/debit cards
• Google Pay: Available for users with Google Pay enabled devices and accounts
• Apple Pay: Available for users with Apple Pay enabled devices and accounts

4.2 Payment Authorization

By providing payment information, you authorize us to charge your payment method for all fees associated with your subscription, including recurring subscription fees, overage charges, and any applicable taxes. You represent and warrant that you have the legal right to use any payment method you provide to us.

4.3 Payment Processing

All payments are processed securely through third-party payment processors (PayPal and Stripe). We do not store complete credit card information on our servers. Payment processors may store your payment information according to their own terms and privacy policies. You agree to review and comply with the terms of service and privacy policies of our payment processors.

4.4 Failed Payments

If a payment fails due to insufficient funds, expired payment method, or any other reason:

• We will attempt to process the payment up to three times over a 10-day period
• You will receive email notifications about failed payment attempts
• Your account may be suspended after three failed payment attempts
• You are responsible for updating your payment information to avoid service interruption
• Late fees of $5.00 may apply for payments more than 15 days overdue

4.5 Taxes

All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for all applicable taxes associated with your subscription. If we are required to collect taxes, they will be added to your invoice and charged to your payment method.

4.6 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription period but will apply to subsequent renewal periods. We will notify you of any price changes at least 30 days before they take effect. If you do not agree to a price change, you may cancel your subscription before the next billing cycle.

5. Refund Policy

5.1 Refund Eligibility

We offer refunds under the following conditions:

• Service Issues: If the Service experiences significant downtime or technical failures that prevent normal use for more than 72 consecutive hours, you may request a prorated refund for the affected period
• First-Time Subscribers: New subscribers may request a full refund within 14 days of their first payment if they are not satisfied with the Service
• Billing Errors: If you are charged incorrectly due to our error, we will refund the incorrect amount immediately

5.2 Non-Refundable Situations

Refunds will not be provided for:

• Unused portions of subscription periods for voluntary cancellations
• Dissatisfaction with features that are clearly described on our website
• Third-party service limitations or search engine algorithm changes
• Credits or features that have already been consumed or utilized
• Account suspensions or terminations due to Terms violations

5.3 Refund Process

To request a refund, contact us at [email protected] with your account details and reason for refund. Approved refunds are processed within 5-10 business days and will be credited to your original payment method.

6. User Responsibilities

6.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Use a strong, unique password for your account
• Not share your account credentials with unauthorized persons
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

6.2 Acceptable Use

You agree not to use the Service to:

• Monitor websites you do not own or have explicit authorization to monitor
• Engage in or facilitate any illegal, fraudulent, or malicious activities
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Circumvent any usage limits, security measures, or access controls
• Resell, redistribute, or sublicense access to the Service without written permission
• Upload malware, viruses, or harmful code
• Use automated systems to excessively access the Service beyond normal usage patterns

6.3 Data Accuracy

You are responsible for ensuring that all information you provide to us, including website URLs, contact information, and payment details, is accurate and up to date. We are not liable for service disruptions or issues resulting from inaccurate information you provide.

7. Service Availability and Limitations

7.1 Service Level

We strive to maintain 99.5% uptime for the Service, excluding scheduled maintenance. However, we do not guarantee uninterrupted access and are not liable for temporary unavailability due to maintenance, technical issues, or circumstances beyond our control.

7.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily limits or suspends access to the Service. We will provide advance notice of scheduled maintenance when possible, typically at least 48 hours in advance.

7.3 Third-Party Dependencies

Our Service relies on third-party data providers, search engine APIs, and web infrastructure services. We are not responsible for limitations, disruptions, or changes to these third-party services that may affect the Service’s functionality or data accuracy.

8. Intellectual Property

8.1 Ownership

The Service, including all software, designs, text, graphics, logos, and other content, is owned by WEB MEDIA SOLUTIONS LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only.

8.2 User Data

You retain all rights to data you input into the Service, including website URLs and configuration settings. We do not claim ownership of your data. However, by using the Service, you grant us a limited license to process, store, and display your data as necessary to provide the Service to you.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES
• WE ARE NOT RESPONSIBLE FOR SEARCH ENGINE PENALTIES, RANKING CHANGES, OR SEO IMPACTS RESULTING FROM YOUR USE OF THE SERVICE

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of your paid period. No refunds are provided for early cancellations except as specified in our Refund Policy.

10.2 Termination by Us

We reserve the right to suspend or terminate your account immediately if:

• You violate these Terms of Service
• Your payment method fails and remains uncorrected for 15 days
• We suspect fraudulent, abusive, or illegal activity
• We discontinue the Service entirely (with 30 days’ notice)

10.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. We may delete your account data after 90 days. You remain responsible for any outstanding fees. Sections of these Terms that by their nature should survive termination (including payment obligations, intellectual property rights, disclaimers, and limitations of liability) will continue to apply.

11. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect, process, and store data as described in our Privacy Policy. By using the Service, you consent to such data handling practices in accordance with applicable data protection laws including GDPR and CCPA where applicable.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

12.2 Informal Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will work in good faith to resolve disputes within 30 days.

12.3 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in Casper, Wyoming, under the rules of the American Arbitration Association. You waive your right to participate in class actions or class arbitrations. This arbitration clause does not apply to disputes that can be brought in small claims court.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WEB MEDIA SOLUTIONS LLC regarding the Service and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.3 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms to any affiliate or successor without restriction.

13.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

13.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government authorities, pandemics, or failures of third-party services.
